1. How is my equity allocation secured?
Equity allocation is a special long-term incentive offered by Torch to reward user loyalty. 1 share is allocated to you at no extra cost for every year your subscription remains active. However, your accrued rights are secured strictly on the condition of continuous active membership until a Liquidity Event occurs. Retaining your stake in future valuation requires maintaining active partner status.
2. What is the policy on subscription cancellation?
Active membership is the custodian of your Torch equity rights. Voluntary cancellation prior to a Liquidity Event (e.g., IPO or Sale) results in the immediate forfeiture of all share allocations accrued up to that date. Participation in the exit event is exclusive to active members.
3. Are the allocated shares liquid?
No. Torch Card operates as a private entity; therefore, allocated shares are classified as "illiquid assets." They are not tradable on public exchanges. Value realization is restricted to future Liquidity Events, contingent on company performance.
4. Is there a fee for the Exclusive Design Torch Card?
No. We believe in the democratization of finance. The Exclusive Design Torch Card is included in your subscription as a standard right for every member, with no extra charges for printing, hardware, or shipping.
5. What is the classification of the shares?
Eligible members are allocated Class B (Non-Voting) Shares. This asset class confers economic benefits (participation in financial growth) but does not grant governance rights or representation on the company board.
6. When does the Social Impact pledge activate?
The 50% profit donation pledge commences upon the successful completion of your first membership year, coinciding with your initial equity allocation. Year 1 focuses on infrastructure; Year 2 activates our shared impact model.
7. How are client funds safeguarded?
Torch Card operates with FCA-regulated partners. Client funds are held in segregated safeguarding accounts at Tier-1 institutions. These funds are strictly separated from company operational accounts and are ring-fenced from our corporate investments.
8. What is included in the subscription?
We champion equality; the subscription fee is fixed at £9.90/month for everyone. This fee covers your annual equity allocation, the Exclusive Design Torch Card, and standard money transfer limits. No additional capital payment is required for the share awards. However, any future tax liabilities arising from value appreciation (e.g., Capital Gains Tax) are excluded and remain the member's sole responsibility.
9. What are the eligibility criteria?
Services are available to UK residents aged 18+. Account activation is subject to the successful completion of standard Know Your Customer (KYC) and Anti-Money Laundering (AML) verification protocols.
10. Is this considered investment advice?
No. Torch Card provides payment services and loyalty rewards; we do not offer investment advice. The value of private equity is variable and capital is at risk. Users should assess the suitability of this product relative to their financial position.
